Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Destesi ("Destesi", "we", "us", or "our"), including the Destesi product suite and the Destesi Connect integration platform (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility & accounts

You must be at least 18 years old and capable of forming a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

2. The Services

Destesi provides AI-native tools for developers and teams, including database branching, preview environments, content generation, and third-party application connectivity through Destesi Connect. We may add, modify, or discontinue features at any time. We will make reasonable efforts to notify you of material changes that adversely affect your use of the Services.

3. Third-party services & connections

The Services let you connect third-party applications and accounts (for example, Slack, GitHub, HubSpot, Intercom, Zoom, and others) through OAuth or API credentials that you authorize. When you connect a third-party account, you authorize Destesi to access, store, and process data from that account solely to provide the Services you have requested.

Your use of any third-party service is governed by that third party's own terms and privacy policies. Destesi is not responsible for the practices, availability, or content of third-party services. You may revoke any connection at any time, after which we will stop accessing the corresponding third-party account.

4. Acceptable use

You agree not to:

• Use the Services to violate any law or the rights of others;
• Attempt to gain unauthorized access to the Services or related systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer or misuse credentials, tokens, or access granted to you;
• Use the Services to transmit malware or to send unsolicited communications.

5. Your content & data

You retain all rights to the data and content you submit to or connect through the Services ("Your Content"). You grant Destesi a limited license to host, process, and transmit Your Content as necessary to operate and provide the Services. Our handling of personal data is described in our Privacy Policy.

Support access. You grant Destesi a limited right to access your workspace content for the sole purpose of providing support you have requested or resolving an incident affecting the Services. Such access is time-limited, the reason is recorded, and it is surfaced to you in your account activity.

5.1 Data processing terms

This section governs personal data contained in Your Content, including personal data we access from the third-party accounts you connect. For that data you are the controller andDestesi acts as your processor. It forms our data processing agreement with you, and it applies for as long as we process that data.

• Instructions. We process personal data only to provide the Services, on your documented instructions — which include your use of the Services and the connections and features you enable — and for the purposes described in ourPrivacy Policy. We do not sell it and we do not use it for our own advertising or profiling.
• Confidentiality. Personnel authorized to process personal data are bound by confidentiality obligations and may access it only as their role requires.
• Security. We maintain the technical and organizational measures described in Section 6 of the Privacy Policy, including encryption in transit and at rest, access control, access logging, and an incident response procedure.
• Sub-processors. We use service providers, including cloud infrastructure and AI providers, to deliver the Services. Each is bound by obligations no less protective than these, and we remain responsible for their performance.
• Assistance. We assist you, taking into account the nature of the processing, in responding to requests from data subjects and in meeting your own security, breach notification, and impact assessment obligations. We notify you without undue delay after becoming aware of a personal data breach affecting your data.
• Deletion. On termination, or when a connection is removed, we delete the personal data in accordance with the retention periods in Section 7 of the Privacy Policy, except where the law requires us to keep it.
• Demonstrating compliance. On reasonable written request, and no more than once a year unless a breach or a supervisory authority requires otherwise, we make available the information needed to demonstrate compliance with this section.

6. Fees

Some Services are offered under free and paid plans. Where fees apply, they will be presented to you before you incur them. Unless otherwise stated, fees are non-refundable except as required by law.

7. Intellectual property

The Services, including all software, design, and content provided by Destesi, are owned by Destesi and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding without our prior written consent.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

9. Limitation of liability

To the maximum extent permitted by law, Destesi will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising from your use of the Services. Our total liability for any claim arising out of these Terms will not exceed the amounts you paid us for the Services in the twelve months preceding the claim.

10. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we are required to do so by law. Upon termination, your right to use the Services ceases, and we may delete Your Content in accordance with our retention practices.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
